Welcome to DealTrust, owned and operated by DealTrust, LLC, a Delaware limited liability company ("DealTrust," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our website, platform, and related services (collectively, the "Services").

By accessing or using DealTrust, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

2. Eligibility & Accounts

• Eligibility: You must be at least 18 years old and capable of forming a legally binding contract.
• Account Registration: You must provide accurate, complete, and current information.
• Account Security: You are responsible for safeguarding your login credentials and all activity under your account.
• One Account: Each person may maintain only one account. We may suspend or terminate duplicate accounts.

3. User Content & Reviews

• Ownership: You retain ownership of the content you submit (reviews, ratings, comments).
• License: By submitting content, you grant DealTrust a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, display, adapt, and otherwise exploit your content in connection with the Services.
• Opinions Only: Reviews and ratings are opinions, not statements of fact, and reflect individual experiences.
• Public Nature: Reviews are public and may be indexed by search engines.
• Responses: Advisors may submit responses to reviews. Responses are also public and represent only the advisor's opinions.
• No Duty to Monitor: We may, but have no obligation to, screen, monitor, edit, or remove content.

4. Review Integrity & Prohibited Conduct

You agree not to:

• Post false, misleading, defamatory, obscene, harassing, or otherwise unlawful content.
• Misrepresent your identity or affiliation.
• Fail to disclose a material connection (employment, family, financial interest, incentives).
• Offer or accept compensation or incentives for reviews without clear disclosure.
• Manipulate reviews (review swaps, gating, bulk solicitation, fake accounts).
• Post confidential information or infringe third-party rights.
• Interfere with the Services or attempt unauthorized access.

5. Ranking, Labels, and Use of Content

We may display, sort, rank, tag, annotate, and otherwise present content using automated and manual methods. We may label reviews with context such as "invited review," "relationship disclosed," or "advisor response."

6. Intellectual Property

Except for user submissions, all content on DealTrust—including software, designs, text, graphics, trademarks, and trade names—is owned by DealTrust and protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or exploit such materials without our prior written consent.

7. Disclaimers

• DealTrust is a neutral platform for user-generated content. We do not verify reviews, endorse any broker, or guarantee the quality of any services.
• The Services are provided "as is" and "as available" without warranties of any kind.

8. Limitation of Liability

To the fullest extent permitted by law:

• DealTrust is not liable for any indirect, incidental, consequential, punitive, or special damages.
• Our total liability for claims relating to the Services will not exceed the greater of (i) $100 or (ii) the amount you paid us in the 12 months before the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless DealTrust, its affiliates, and their officers, directors, employees, and agents from any claims, damages, liabilities, losses, and expenses (including attorneys' fees) arising from:

• Your content;
• Your use of the Services; or
• Your violation of these Terms or applicable law.

DealTrust may assume control of the defense, and you may not settle a claim without our consent.

10. DMCA & Copyright Policy

DealTrust complies with the Digital Millennium Copyright Act (DMCA). We respond to valid takedown notices and terminate repeat infringers.

11. Dispute Resolution & Arbitration

Except for small-claims court actions, any dispute arising out of these Terms or the Services will be resolved by binding arbitration administered by JAMS under its Streamlined Rules.

• Venue: Wilmington, Delaware.
• Class-Action Waiver: You waive the right to participate in a class or representative action.
• Jury Waiver: You waive the right to a jury trial.
• Opt-Out: You may opt out of arbitration within 30 days of creating an account by emailing will@dealtrust.co and tom@dealtrust.co with the subject "Arbitration Opt-Out."

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Venue for disputes is exclusively in state or federal courts located in Wilmington, Delaware.

14. Changes to Terms

We may update these Terms at any time. Continued use of the Services after changes constitutes acceptance.
